1.0 Agreement
1.1 Access this services is governed by the terms and conditions as stated below ("Terms of Use"). By accessing and using the Website, you shall be deemed to have accepted and agreed to be legally bound by these Terms of Use. If you do not accept any of these Terms of Use, please do not enter the AmieOne website under the domain name, www.amieone.com (“Website”).
1.2 Please read these terms and conditions carefully. A reference to this "Website" is to http://www.amieone.com including but not limited to the information, text, images, links, sound, graphics and video sequences displayed herein (the "Materials").
1.3 In these Terms of Use, the words "AmieOne", "Amie One", "we", "our" and "us" refer to Amie One Pte. Ltd. The words "you", "registered user" and "user" refer to any internet user who browses AmieOne website without registering as user or as registered user of AmieOne. The word "Contents" and "Submissions" refer to any User submission including but not limited to written contents, videos, audio clips, information, data, texts, photographs, scripts, graphics, proposals and suggestions, submitted to AmieOne website.
1.4 These Terms of Use may be changed from time to time. Changes will be posted on this page. It is your responsibility to check the Terms of Use periodically for changes. Your continued use of the Website after changes have been posted on the Website will constitute your agreement to the modified Terms of Use and all of the changes.
1.5 We may modify or discontinue any information or features that form part of the Website at any time, with or without notice to you, and without liability.
1.6 These terms control the relationship between AmieOne and you. They do not create any third party beneficiary rights.
1.7 If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).
1.8 If it turns out that a particular term is not enforceable, this will not affect any other terms.
2.0 Integrity and Safety of AmieOne
We do our best to uphold the integrity of AmieOne and make AmieOne safe, but we cannot guarantee it. By browsing AmieOne website or registering and becoming an AmieOne user, you have made the following commitments to us:
2.1 You agree not to post unauthorized commercial communications (such as spam) on AmieOne.
2.2 You agree not to collect users' content or information, or otherwise access AmieOne, using automated means to extract any information from AmieOne without our prior permission.
2.3 You agree not to (directly or indirectly): (i) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of AmieOne website (ii) modify, translate, or otherwise create derivative works of any part of AmieOne website.
2.4 You agree not to post indecent or inappropriate content or material (involving, for example, hate or threatening speech, pornography, violence or criminal acts, nudity, inhumane act, etc.)
2.5 You agree not to develop or operate a third-party application containing alcohol-related, dating or other mature content (including advertisements) without appropriate age-based restrictions.
2.6 You agree not to infringe into the rights of others (for example, unauthorized sharing of copyrighted music or other materials).
2.7 You agree not to engage in unlawful or illegal activities. You agree not to upload viruses or other malicious code.
2.8 You agree not to solicit login information or access an account belonging to another user.
2.9 You agree not to use AmieOne to do anything unlawful, misleading, malicious, or discriminatory.
2.10 You agree not to do anything that could disable, overburden, or impair the proper working or appearance of AmieOne, such as a denial of service attack or interference with page rendering or other AmieOne functionality.
2.11 You agree not to help or encourage any violations of these Terms or our policies. You are to alert the AmieOne about any unauthorized use of your AmieOne registered account.
2.12 You will protect your AmieOne Account and keep your password confidential. You are responsible for the activity that happens on or through your AmieOne Account. Try not to reuse your AmieOne Account password on third-party applications. If you learn of any unauthorized use of your password or AmieOne Account, you should notify us immediately. However, AmieOne is not liable for any losses, damages or expenses in the event that your account is “hacked or cracked into” by any other third parties.
2.13 In connection to the Contents submitted by you in response to contests on AmieOne website, you agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights.
2.14 AmieOne does not endorse any user’s Contents or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with the user’s Contents. We do not permit copyright infringing activities and infringement of intellectual property rights on the AmieOne website, and we will remove all Contents and Submissions if properly notified that such Contents or Submission infringes on another’s intellectual property rights. Although AmieOne has no obligation to do so, we reserve the right in our sole discretion to remove your Contents and Submissions without prior notice.
2.15 You shall be solely responsible for your own Contents and Submissions and the consequences of posting or publishing them. In connection with your Contents and Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all your Contents and Submissions, to enable inclusion and use of your Contents and Submissions in the manner contemplated by AmieOne and these Terms of Use.
3.0 IP for All Contents submitted to AmieOne Contests
Registered users, who participate in AmieOne contest and subsequently win any prizes, agree to fully, exclusively and unconditionally transfer the copyrights or any rights of the Contents submitted in response to AmieOne contests to Amie One Pte Ltd without any condition attached. Winners will be required to provide editable or source electronic copies of their winning Contents.
Registered users, who participate in AmieOne contest and subsequently did not win any prizes but wish to allow AmieOne partially, fully or with changes use their submitted Contents in any AmieOne works, can indicate on the left bottom corner of their Contents these wordings - “All rights to Amie One Pte Ltd”. AmieOne may use these Contents with or without mentioning the users’ name.
In both the above cases, AmieOne has the rights to edit and/or rewrite the Contents to any extent we deem necessary.
In both the above cases, users must ensure the submitted Contents are not copied and users have full ownership/copyright/IP of their own creation. As such, users agree to indemnify and hold harmless Amie One Pte Ltd against any damages, losses, or expenses (including but not limited to attorney’s fees, etc.) in connection with any use of the submitted Contents.
By submitting your Contents to us, you hereby also grant other users of AmieOne a worldwide, non-exclusive license, royalty-free, right to access your Contents through AmieOne website, and to use such Contents as permitted through the functionality of the AmieOne website and under these Terms of Use.
By submitting your Contents to us, you hereby do and shall grant AmieOne a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable and transferable license to retain, use, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Submissions in connection with the AmieOne website, its services and AmieOne’s (and its successors and assigns’) business, including without limitation for promoting and redistributing part or all of the Website (and derivative works thereof) or its services in any media formats and through any media channels (including, without limitation, third party websites).
4.0 IP of All Suggestions or Feedbacks to AmieOne
A lot of thanks for suggesting or making feedbacks (contest questions, process, methodology, etc.) to make this platform more interesting. However, for the ease and proper functioning of this platform, it is important that the proposer/proposers of these suggestions and feedbacks agree on the following before pressing the “Submit” button.
5.0 Rules of AmieOne Contests
All registered users of AmieOne who participate in the contest have to agree on the following:
5.1 AmieOne has the right to change the rules of the contest at any time.
5.2 The decisions of AmieOne are final and we will not enter into any correspondence over the decisions.
5.3 In any contest, the votes by users make up 75% of the total votes and the remaining 25% of the votes are cast by a panel of judges. This panel of judges consists of one or more of the following groups:
All the chosen judges and their immediate family members must not participate in that particular contest which they are invited and accepted as judges.
6.0 Rules of Cashing Out Prize Points
Users can choose to cash out their prize points anytime as long as they have a minimum prize points of 25000 (equivalent to S$250) in their account. Upon receiving a cash-out request, AmieOne will authenticate the request and the user has 5 working days to alert AmieOne of any foul play. After which, AmieOne will activate the cash out process that will take about another 10 working days.
User will receive the balanced cash amount after deducting all bank charges, AmieOne Admin processing fee (8%) and Paypal transaction charges.
The minimum cash out amount is 25,000 prize points and the maximum is 100,000 prize points each time.
7.0 No Warranty and Exclusion of Liability (General Disclaimer)
This Website and the Materials are provided "as is" and AmieOne does not warrant the accuracy, adequacy or completeness of this Website and/or the Materials and expressly disclaims liability for errors or omissions in the Materials. No warranty of any kind, implied, express or statutory, including but not limited to the warranties of non-infringement of third party rights, title, merchantability, satisfactory quality and/or fitness for a particular purpose, is given in conjunction with the Materials and/or this Website.
Amie One Pte Ltd shall in no event be liable for any damages, loss or expense including without limitation, direct, indirect, special, or consequential damage, or economic loss arising from or in connection with:
7.1 any access, use or the inability to access or use this Website, or reliance on the Materials and/or any information in this Website;
7.2 any server, system or connection failure, error, omission, interruption, delay in transmission, or computer virus;
7.3 any use of or access to any other website linked to this Website; and
7.4 any contents, information and actions or data from third parties
The above applies even if AmieOne or its agents or employees are advised of the possibility of such damages, losses and/or expenses. In addition, any hyperlinks to any other websites are not an endorsement or verification of such websites and such websites should only be accessed at the user's own risks.
If you are using AmieOne or its services on behalf of a business, that business accepts these Terms of Use. It will hold harmless and indemnify AmieOne and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.
8.0 Indemnification
You shall defend, indemnify, and hold harmless AmieOne, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including but not limited to reasonable attorneys’ fees, that arise from or relate to your use or misuse of, or access to, the Website, its service, Materials, Contents or otherwise from User Submissions, violation of the Terms of Use, or infringement by you, or any third party using your AmieOne account, of any intellectual property or other right of any person or entity. AmieOne reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with AmieOne in asserting any available defenses.
9.0 Termination
If any user violates these Terms, or otherwise create risk or possible legal exposure for us, we can stop providing access to AmieOne to you. AmieOne will notify you by email or at the next time you attempt to access your account. AmieOne may also delete your account or disable your application at any time.
10.0 Governing Law and Jurisdiction
By accessing this Website, you agree any dispute, controversy or claim arising out of or in connection with the Terms of Use, including any question regarding its existence, validity, breach or termination, shall be referred to and finally resolved by arbitration in Singapore at the Singapore International Arbitration Centre ("SIAC") or at such other venue in Singapore as the parties concerned may agree in writing in accordance with the SIAC Rules. A tribunal shall consist of a single arbitrator to be appointed by the chairman of the SIAC. The decision of the tribunal shall be final and binding on the parties concerned. The language of the arbitration shall be English. The parties concerned undertake to keep the arbitration proceedings and all information, pleadings, documents, evidence and all matters relating thereto confidential.
YOU AND US AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
